Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Nexcell, including our websites, game, and related services. By using Nexcell, you agree to these Terms.

  • Play fair, respect others, and follow applicable laws.
  • We may enforce these Terms, including restricting access for violations.
  • We provide the service “as is” without warranties and with limited liability.

What This Service Is

Description & Operation

Nexcell is an online multiplayer game and platform for user-generated content (e.g., skins and emotes). We operate the game servers, the web portal, and provide tools to browse, upload, and manage content.

Availability

We aim for high availability but do not guarantee uninterrupted service. We may modify, suspend, or discontinue parts of the service at any time.

Eligibility

You must be at least 13 to create or use a Nexcell account. If you are under the age of legal majority where you live, your parent or legal guardian must review and agree to these Terms on your behalf. Additional parental authorization may be required for consent-based data processing under the laws that apply where you live.

Acceptable Use

What Is Allowed

  • Playing the game, customizing settings, and using provided features
  • Uploading skins/emotes you own the rights to share
  • Respectful communication and fair play

What Is Not Allowed

  • Harassment, hate speech, or abusive behavior
  • Cheating, exploiting, or attempting to disrupt the service
  • Uploading illegal content, malware, or infringing materials

User Content & Ownership

Ownership

You retain ownership of content you upload (e.g., skins, emotes), subject to any rights you have granted to third parties. You represent that you have the necessary rights to upload and share the content.

License You Grant

By uploading content (including skins, emotes, images), you grant Nexcell a perpetual, worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, adapt, and display your content in connection with operating, promoting, and improving the Services. This license permits continued hosting of approved content even if your account is suspended or deleted, provided the content itself does not violate these Terms or applicable law. We may retain copies as necessary for backups, moderation records, or legal compliance.

Content Approval

All uploads undergo a two-step moderation process (automated analysis followed by human review) before public availability. Nexcell reserves the right to reject, remove, or modify content that violates our rules or applicable law. Only content approved through our moderation process is publicly visible.

Content Rules

  • No illegal, hateful, sexualized, or otherwise prohibited materials
  • No content that violates intellectual property rights
  • We may remove content that we believe violates these Terms

Enforcement

Suspension & Removal

We reserve the right to suspend or terminate access, remove content, or take other actions if we believe you violate these Terms or the law.

Account Bans & Content

Banning a user does not automatically remove their previously approved content from public access. Approved content may remain available so long as it does not violate these Terms or applicable law.

Reporting Illegal Content

To report specific content you believe is illegal, email support@nexcell.app with the exact URL or content identifier, an explanation of why it is illegal, your name and email address (except where the law permits an anonymous notice), and a good-faith statement that the report is accurate and complete. We will acknowledge and process sufficiently precise notices in a timely, diligent, objective, and non-arbitrary way.

We may remove or restrict content, suspend accounts, preserve evidence, notify affected users of our reasons and available redress, and report suspected crimes involving a threat to life or safety where the law requires it. To challenge a moderation decision, reply to the decision notice or email the address above.

Disclaimers & Limitation of Liability

Nexcell is provided on an "as available" basis. Nothing in these Terms excludes or limits liability where doing so is not permitted by law. In particular, we remain liable for intent, gross negligence, injury to life, body, or health, fraudulent concealment, guarantees we expressly give, and liability under mandatory product-liability law. For slight negligence, we are liable only for breach of an essential contractual obligation and only for the foreseeable damage typical for this type of agreement. Mandatory consumer warranty rights remain unaffected.

Applicable Law & Contact

These Terms are governed by applicable law. If you are a consumer, nothing in these Terms deprives you of mandatory protections provided by the law of your country of habitual residence. Mandatory rules on jurisdiction remain unaffected.

  • By using Nexcell, you agree to these Terms.
  • If you do not agree, do not use the service. Continued use means acceptance.

Changes to These Terms

We may update these Terms prospectively when reasonably necessary for legal, security, technical, or service changes. We will post the new version and update the date above. For material changes affecting existing users, we will provide reasonable advance notice and obtain consent where required by law. Changes do not apply retroactively unless the law requires it.
